These Terms and Conditions ("Terms") govern your access to and use of the Nutrition DAO website (nutritiondao.com), the Phytos consumer application, the Conquer enterprise wellness platform, the Nutrition One AR food label system, the Optima health coach certification program, the NDAO Protocol, all associated smart contracts, tokens, APIs, and services (collectively, the "Platform") operated by Heart Media Agency Inc. ("we," "us," "NDAO").
By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Heart Media Agency Inc.
1. About Nutrition DAO
Nutrition DAO is a decentralized non-profit initiative building the world's first network architecture for nutrition — an open, scalable, community-governed ecosystem connecting stakeholders from farm to fork. Our mission is to solve the hidden hunger of the world (micronutrient and phytonutrient deficiencies) and create a new universal standard for personalized nutrition science.
NDAO operates as a decentralized autonomous organization with community governance. Heart Media Agency Inc. serves as the initial legal entity facilitating development, operations, and legal compliance during the DAO's bootstrapping phase. As decentralization progresses, governance will increasingly transfer to the community in accordance with our roadmap and the a16z DXR (Decentralize, X-clude, Restrict) framework.
2. Eligibility
You must be at least 16 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization.
You must not use the Platform if you are located in a jurisdiction where the use of blockchain technology, cryptocurrency tokens, or decentralized applications is prohibited by law. You are solely responsible for ensuring your use complies with your local laws and regulations.
3. Platform Description and Products
The Platform encompasses four interconnected products:
Phytos is our consumer flagship — a real-time personalized nutrition application that models your body across seven health signals, uses adaptive AI agents, and rewards users with tokens for health milestones. Consumer tiers: Free (core tracking), Gold ($15/month), Premium ($44.99/month).
Conquer is our enterprise wellness solution targeting organizations seeking to improve workforce health and productivity through aggregated, anonymized nutritional analytics.
Nutrition One is an AR-powered food label system that overlays real-time nutritional intelligence onto physical food items via smartphone camera.
Optima is our learn-to-earn health coach certification program, enabling participants to complete courses, earn credentials, and build practices using our branded content library.
Features, products, and pricing are subject to change. We reserve the right to modify, suspend, or discontinue any aspect of the Platform with reasonable notice.
4. Health Information Disclaimer
Phytos does not provide medical advice. All nutrition insights, health signal scores, AI agent recommendations, body models, and related outputs are for informational and educational purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment.
Always consult a qualified healthcare provider before making changes to your diet, supplementation, exercise routine, or health protocols. We are not liable for any health decisions or outcomes based on information provided by the Platform.
The Platform references scientific research across molecular biology, epigenetics, microbiome science, phytonutrient chemistry, and longevity research. Many of these areas are actively evolving. The litepaper and product content represent our best synthesis of available evidence but do not constitute peer-reviewed medical guidance.
5. Acceptable Use
You agree to use the Platform lawfully and in good faith. You will not misuse the Platform infrastructure or smart contracts, misrepresent your identity, manipulate DAO governance through vote buying or Sybil attacks, exploit token mechanisms, harm other users, violate applicable laws, or submit false health data to earn token rewards.
We reserve the right to suspend or terminate access for any user who violates these Terms, with or without notice.
6. Tokens and Digital Assets
6.1 Token Descriptions
$PHYTOS is the utility token of the Nutrition DAO ecosystem — earned for health milestones, used for premium features, microtransactions, and peer-to-peer data exchanges. Fixed supply with a deflationary burn mechanism.
$NDAO is the governance token — granting voting rights on fund allocation, partnerships, protocol upgrades, and strategic direction. Requires staking. Distributed to early contributors, active participants, and investors.
Total supply: 1 billion tokens. Allocation: 40% community incentives, 30% ecosystem growth, 20% development and operations, 10% team and advisors (three-year vesting).
6.2 Token Disclaimers
$PHYTOS and $NDAO are not securities, investment contracts, or financial instruments. They are not investments and should not be purchased with any expectation of profit or financial return. Holding tokens does not constitute equity, ownership, revenue share, or a claim to profits of Nutrition DAO or Heart Media Agency Inc.
Tokens are intended exclusively for use within the Nutrition DAO network. Token values may fluctuate. Past token distribution or pricing does not indicate future value.
6.3 Soulbound Tokens (SBTs)
The Platform may issue non-transferable Soulbound Tokens representing verified health milestones, governance participation, and contribution history. SBTs are permanently bound to your wallet address and cannot be sold, transferred, or delegated.
6.4 Risks of Digital Assets
Interacting with blockchain-based tokens involves substantial risk including smart contract vulnerabilities, loss of tokens due to private key mismanagement, regulatory changes, market volatility, and the experimental nature of decentralized governance. You are solely responsible for safeguarding your private keys and wallet credentials.
7. Donations
Donations to Nutrition DAO are voluntary contributions to support the mission. Cryptocurrency donations are processed on public blockchains and are final and non-refundable. You are solely responsible for sending the correct token on the correct network. Donations do not confer any ownership, equity, governance rights, or token entitlements.
8. DAO Governance
Participation in DAO governance is open to holders of $NDAO tokens who stake their tokens as required. Governance decisions are recorded on an immutable blockchain. Participation in governance does not create an employment, partnership, or fiduciary relationship with NDAO.
Decentralization is progressive. Early-phase governance may involve more centralized decision-making by the founding team, transitioning to full community governance as the protocol matures.
9. User Content and Data Ownership
You retain ownership of all health data, dietary logs, biometric inputs, and other personal data you provide through the Platform. By using the Platform, you grant us a limited, non-exclusive, revocable license to process this data solely to deliver the services described in these Terms and our Privacy Policy.
Aggregated, anonymized data may be used to improve open-source nutrition models and contribute to public health research — always without identifying individual users. You may revoke this license at any time by deleting your account.
10. Intellectual Property
All proprietary content on nutritiondao.com — including text, graphics, logos, user interface design, brand assets, and proprietary software — is owned by Heart Media Agency Inc. or licensed to NDAO. Open-source components of the NDAO Protocol are governed by their respective open-source licenses.
11. Subscription Services and Payments
Phytos offers tiered subscription plans (Free, Gold, Premium). Paid subscriptions are billed monthly. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods. We reserve the right to modify pricing with 30 days' notice.
12. Third-Party Services and Integrations
The Platform may integrate with third-party services including wearable device APIs, nutritional databases, blockchain networks, DeFi protocols, and external data providers. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, security, or policies of any third-party service.
13. Open-Source Protocol
Portions of the NDAO Protocol are or will be released as open-source software. By contributing to open-source components, you agree that your contributions are licensed under the applicable open-source license and that you will not assert intellectual property claims against the DAO or downstream users for those contributions. Open-source software is provided "as is" without any guarantee of fitness, accuracy, or reliability.
14. Forward-Looking Statements
The litepaper, website, and Platform materials contain forward-looking statements regarding potential future products, features, token utility, governance structures, partnerships, and research outcomes. Features described in the litepaper represent aspirational goals, not guaranteed deliverables. Actual timelines, functionality, and results may differ materially.
15. Limitation of Liability
To the maximum extent permitted by law, NDAO, Heart Media Agency Inc., its directors, officers, employees, contractors, agents, community members, and DAO participants shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Platform.
Our total aggregate liability for all claims shall not exceed the greater of (a) the amount you have paid to us in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
16. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
17. Indemnification
You agree to indemnify, defend, and hold harmless Heart Media Agency Inc., NDAO, its contributors, community members, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses arising from your use or misuse of the Platform, your violation of these Terms, your violation of applicable laws, or your token transactions.
18. Dispute Resolution
You agree to attempt to resolve any dispute informally by contacting us at arun@nutritiondao.com before initiating formal proceedings. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration administered by the ADR Institute of Canada in Toronto, Ontario.
19. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any proceedings not subject to arbitration shall be brought in the courts of Toronto, Ontario.
20. Modifications to These Terms
We may revise these Terms from time to time. Material changes will be communicated through the Platform at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
21. Severability and Waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver.
22. Entire Agreement
These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and Heart Media Agency Inc. regarding your use of the Platform.
23. No Offer or Solicitation
Nothing in these Terms, the litepaper, or any Platform materials constitutes an offer to sell or a solicitation of an offer to purchase $NDAO or $PHYTOS tokens. You should not rely on any content for legal, investment, financial, tax, or other professional advice.
